Happy Student Terms & Conditions

1. INTRODUCTION

1.1  These terms and conditions (“Terms and Conditions” or “Agreement”) define all the applicable legal rules, rights and obligations for the use and operation of the Happy Student mobile application (“Application”). Please read carefully these Terms and Conditions in order to use the Application.
1.2.  The Terms and Conditions apply to all Users of the Application.
1.3.  These Terms and Conditions are issued by Happy Student Limited, a company registered
in England under company number 11947586, whose registered office is at New Derwent House, 69-73 Theobalds Road, London, United Kingdom, WC1X 8TA, which is the company owning the Application and providing the Services indicated in this Terms and Conditions. (“Happy Student” or “We”)
1.4.  By downloading the Application and by being a Subscriber as defined in Article 2.1.4, Users understand that they have read these Terms and Conditions, fully understood its contents and they accept, declare and undertake that they accept the matters declared therein unconditionally. In case they do not accept these Terms of Use, please stop using the Application.
1.5.  Happy Student may update these Terms and Conditions at any time it believes it necessary or reasonable. Please check this page regularly for any updates. User’s continued use of the Application means the User has agreed to any updates.
1.6.  Happy Student may stop (permanently or temporarily) providing the Services (or any features within the Services) to Users generally at Happy Student’s sole discretion, without prior notice.
1.7.  Users may stop using the Service at any time. Users do not need to specifically inform Happy Student when they stop using the Service.
1.8.  Users acknowledge and agree that if Happy Student disables access to their account, Users may be prevented from accessing the Services, their account details or any files or other materials which is contained in their account.

2. DEFINITIONS

2.1. In these Terms and Conditions:
2.1.1. “Content” means all kinds of information, texts, files, pictures, videos, numbers
and other visual, auditory and written images published on the Application accessible
by the Users.
2.1.2. “Happy Student Services” or “Services” means all services including the Content
provided by Happy Student in order to enable the User to perform the transactions in accordance with the provisions of these Terms and Conditions. Happy Student may make changes and/or adaptations to its Services offered in the Application at any time. The rules relating to these changes are announced to the Users from the Application.
2.1.3. “User” means all natural or legal persons using the Application.

3. ACCESS TO SERVICES

3.1.  Happy Student is an online platform that provides students indispensable information relating to safety, police registration, health services, transportation, finances, legal support, internships, tutoring and entertainment customised depending on the relevant higher education institution and field of study.
3.2.  All Users can access the content provided by Happy Student by registering and signing into the Application by creating an account with the name of their university, e-mail address, and their full name. For information relating to the data collected, please see our Privacy Policy.
3.3.  Happy Student grants the User a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application strictly in accordance with the terms of this Agreement.
3.4.  Users must keep their password and account details confidential and must not disclose them to or share them with anyone.
3.5.  Users may not have more than one active account. Additionally, Users are prohibited from selling, trading, or otherwise transferring their Happy Student account to another party.
3.6.  If the User account of a person is not valid for any reason (for example, because we find that the User is in breach of the Terms and Conditions), that person may not use the Service.
3.7.  When a User registers with the Application, they state that they are over 16 years of age. Services are not available those under the age of 16, or any Users suspended or removed from the system by Happy Student for any reason. By registering for the Services, Users represent and warrant that they are 16 or older and that they have the capacity to understand, agree to and comply with these Terms and Conditions.
3.8.  Users agree that any information they provide to us about themselves upon registration, signing in or at any other time will be true, accurate and complete and that they will ensure that this information is kept accurate and up to date at all times. Happy Student reserves the right to terminate anyone’s usership or access to any specific content if Happy Student learns that the User has provided it with false or misleading registration information.
3.9.  All Users have access to various information about businesses and services in the local areas such as housing searches, school supplies, tutoring, transportation, banking and restaurants surrounding the university.

4. CONTENT AND USE OF THE APPLICATION

4.1.  The Users shall use the Application in accordance with the Terms and Conditions and the governing law.
4.2.  Recognizing the global nature of the Internet, Users agree to comply with all applicable local rules in the jurisdiction where the User is accessing the Application from including but not limited to rules regarding online conduct and acceptable content.
4.3.  The User accepts and undertakes that Happy Student cannot be held responsible for any direct or indirect damages that may occur in case of interruption of Services, disruptions in information transmission, any delays or failures.
4.4.  If a User believes that any Content has features indicated below, they are to notify Happy Student immediately for the investigation of the matter and acting on Happy Student’s sole discretion:
4.4.1. Content that is defamatory, profane, sexually or racially offensive, discriminating, harassing, threatening, obscene or pornographic,
4.4.2.  false, unreliable or misleading,
4.4.3.  infringes intellectual property or other legal rights, or
4.4.4.  otherwise objectionable.
4.5. The User must not impersonate any other person or entity, whether actual or fictitious. 4.6. The User may not:
4.6.1. use the Application in such a manner as might reasonably be expected to cause harm to the Application or other Users or otherwise interfere with the enjoyment of the Application.
4.6.2. misuse the Application by knowingly introducing any material which is technically harmful (including, but not limited to, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).
4.6.3. attempt to gain unauthorised access to the Application, the server on which our Application is stored, or any server, computer or database connected to our Application.
4.6.4. attack the Application via a denial-of-service attack or a distributed denial-of service attack.
4.7. The Application are to be by the User for personal use only. The Users undertake not to use the Application for commercial purposes, not to obtain financial gain or engage in any activity which might constitute unfair competition. The Users may not (without prior written permission from Happy Student):
4.7.1. create a database in electronic or structured manual form by systematically downloading and storing all or any of the Content;
4.7.2. redistribute any of the Content or supply it to other people (including but limited to using and sharing it as part of any library, archive, intranet, similar service or sharing links, screenshots, printed individual pages on paper or parts of the Content saved on any electronic storage);
4.7.3. remove the copyright or trademark notice from any paper or electronic copy of the Content;
4.7.4. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the platform available to any third party.
4.7.5. except as expressly set out above, modify, reproduce or in any way commercially exploit any of the Content.
4.8. Any breach by the Users of the above will be reported to the relevant law enforcement authorities and Happy Student will co-operate with such authorities by disclosing the breaching User’s identity and information to them.
4.9. All Users undertake and declare to contact Happy Student without delay if they become aware of any activities infringing these terms.

5. HAPPY STUDENT RIGHTS AND AMENDMENTS TO THE TERMS AND CONDITIONS
 
5.1.  Happy Student constantly seeks to improve the Application and the Service offered. Happy Student reserves all rights to make alterations on any part of the Application and the Content.
5.2.  Happy Student reserves the right to alter, edit, remove, suspend or refuse any Content without notice, if Happy Student considers that it is objectionable or violates these Terms and Conditions or for any other reason.
5.3.  Happy Student reserves the right to suspend or terminate User’s access and use of the Application at any time.
5.4.  Happy Student reserves the right at its sole discretion to amend these Terms and Conditions from time to time. Happy Student at its own discretion may provide Users of such changes. Otherwise, subject to Article 1.5 above, Users are to regularly check the Terms and Conditions. The continued use by Users of the Application signifies the User’s binding acceptance of the changes in the Terms and Conditions.
5.5.  In case there are any additional terms applying to specific content or services which will constitute part of these Terms and Conditions, they will be clearly placed and made accessible through the Application.
 
6. USE OF PERSONAL DATA AND PRIVACY POLICY
 
6.1.  Happy Student treats the privacy of the User very seriously and understands that Users will wish to know how the information collected is used. Please see Happy Student Privacy Policy which forms part of these Terms and Conditions.
6.2.  All use of personal data of the Users will be in accordance with the Privacy Policy and applicable data protection legislation.
6.3.  Information which is of not personal data can be used, processes, shared, disclosed, classified and stored by Happy Student for promotional, informational and statistical purposes.
 
7. INTELLECTUAL PROPERTY

All trademarks, logos, graphics, images, photographs, animation, videos, text and software used on the Application along with the Application themselves are the intellectual property of or licensed to the Happy Student and the User’s right of use is strictly limited to accessing, downloading, printing and reproducing on all media for personal, private and non-commercial use of the Service within the scope of these Terms and Conditions.

8. DISCLAIMER OF WARRANTIES AND THIRD-PARTY CONTENT

8.1. Happy Student may display, include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services. Third-Party Services and links thereto are provided solely as a convenience to Users and the Users access and use them entirely at their own risk and subject to such third parties' terms and conditions.
8.2.  The User understands and agrees that Happy Student does not guarantee the accuracy or
completeness of any information in or provided in connection with the Application. Happy Student is not responsible for any errors or omissions or for the results obtained from the use of such information.
8.3.  All information is provided on the basis that neither the Happy Student, its employees or consultants or its members, while such members are participating in Happy Student, are engaged in rendering legal, medical, counselling or other professional services or advice. Happy Student advises the Users to seek appropriate professional advice for any situation or problem.
8.4.  Happy Student shall not be responsible for any loss or damage caused directly or indirectly, by the information or ideas contained, suggested or referenced on the Application.
8.5.  Participation in Services is solely at the User’s own risk. No advice or information, whether oral or written, obtained by the User from Happy Student or through the Application shall create any warranty not expressly made in these terms of service or imposed by law.
8.6.  The Application may provide links to third party web sites that are not affiliated with Happy Student (although Happy Student branding may appear on these sites). Happy Student makes no representations as to the quality, suitability, functionality or legality of any sites to which Happy Student may provide links or any goods or services available from such sites.
8.7.  All matters concerning any goods and services provided from a third party, including without limitation all contract terms are solely between the User and the owner of that site and Happy Student will not be liable for any costs or damages to the User or any third party arising directly or indirectly out of User’s use of any third-party website. The User hereby waives any claim they might have against Happy Student with respect to any such sites.
8.8.  Subject to the terms of the Privacy Policy, third parties may, from time to time, send email messages to Users containing advertisements, promotions, etc. Happy Student makes no representation or warranty with respect to the content of any email messages sent by third parties or any goods or services which may be obtained from such third parties as a consequence of these emails, and the Users agree that Happy Student shall have no liability with respect thereto.
 
9. INTERNET/WAP ACCESS
 
9.1.  The Users understand and accept that they will be responsible for providing their own communications equipment to access the Application via the Internet or WAP service, and the Internet/WAP charges thereon.
9.2.  The Users understand and accept that Happy Student shall not be responsible for any reduced functionality resulting from, or in connection with the use of the Application via Internet or WAP.
 
10. LIMITATION OF LIABILIY

10.1. To the extent permitted by law, Happy Student excludes all conditions, warranties, representations or other terms which may apply to the Application or any content on them, whether express or implied.
10.2. Nothing in these terms excludes or limits Happy Student’s liability for death or personal injury arising from Happy Student’s negligence, the negligence of Happy Student employees, agents or subcontractors or Happy Student’s fraud, or for any other liability that cannot be excluded or limited by English law.
10.3. Happy Student only provides the Application for domestic and private use. Users agree not to use the Application for any commercial or business purposes. Happy Student has no liability to Users for any loss of profit, loss of business, business interruption, or loss of business opportunity.
10.4. Happy Student shall not be liable for any loss caused as a result of User’s using, or not using, our service or viewing, reading or listening to any Content available on this Application.
10.5. Happy Student does not warrant that the Application or any of the Content provided will be secure or is bug or virus free. Happy Student accepts no responsibility for any infection by virus or by anything which has destructive properties or impacts on User’s equipment, software or data.

11. TERM AND TERMINATION

11.1. This Agreement shall remain in effect until terminated by the User or Happy Student.
11.2. Happy Student may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
11.3. Happy Student does not warrant that the Application or any of the Content provided will be secure or is bug or virus free. Happy Student accepts no responsibility for any infection by virus or by anything which has destructive properties or impacts on User’s equipment, software or data.
11.4. This Agreement will terminate immediately, without prior notice from Happy Student, in the event that the User fails to comply with any provision of this Agreement.
11.5. Upon termination of this Agreement, the User shall cease all use of the Application and delete all copies of the Application from their computer.
11.6. Termination of this Agreement will not limit any of Happy Student’s rights or remedies at law or in equity in case of breach by the User (during the term of this Agreement) of any of their obligations under the present Agreement.

12. ASSIGNMENT

12.1. Happy Student may assign its rights and obligations under these Terms and Conditions, and upon such assignment Happy Student shall be relieved of any further obligation under these Terms and Conditions.
12.2. Users are not permitted to assign, sub-licence or otherwise transfer their rights and obligations under these Terms and Conditions.

13. ENTIRE AGREEMENT AND SEVERABILITY

13.1. If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
13.2. This Agreement, together with the Privacy Policy and any other legal notices published by Happy Student on the Services, shall constitute the entire agreement between the User and Happy Student concerning the Services supersedes all prior and contemporaneous written or oral agreements between the User and Happy Student.
13.3. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.
13.4. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Happy Student’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

14. PROMOTIONS

14.1. Happy Student may, from time to time, include contests, promotions, sweepstakes, or other activities (“Promotions”) that requires the User to submit material or information concerning herself.
14.2. Please note that all Promotions may be governed by separate rules that may contain certain eligibility requirements, such as restrictions as to age and geographic location.
14.3. The Users are responsible to read all Promotions rules to determine whether or not the User is eligible to participate. If the User enters any Promotion, the User agree to abide by and to comply with all Promotions Rules.

15. GOVERNING LAW AND JURISDICTION

15.1. These Terms and Conditions are governed by the laws of United Kingdom without regard to its conflict of laws provision.
15.2. The User consents to the exclusive jurisdiction of the courts in connection with any action or dispute arising between the parties under or in connection with these Terms and Conditions.
15.3. The laws of United Kingdom, excluding its conflicts of law rules, shall govern this Agreement and the User’s use of the Application. The User’s use of the app may also be subject to other local, state, national, or international laws.
